Acceptance of Terms

By accessing and using the neurotrixum website (neurotrixum.top) and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. neurotrixum SARL, a company registered in Luxembourg with registration number RCSB968574, reserves the right to modify these terms at any time without prior notice.

Description of Services

neurotrixum provides e-commerce sales growth analytics dashboards and related business intelligence services. Our services include but are not limited to:

  • Sales performance analytics and reporting
  • Customer behaviour intelligence and insights
  • Inventory management analytics
  • Growth forecasting and planning tools
  • Custom integration services and API development
  • Consultation and support services

User Obligations

As a user of neurotrixum services, you agree to:

  • Provide accurate, current, and complete information when creating an account or using our services
  • Maintain the security of your account credentials and notify us immediately of any unauthorised access
  • Use our services only for lawful purposes and in accordance with these terms
  • Not attempt to gain unauthorised access to our systems, networks, or data

Service Availability and Performance

While we strive to provide reliable and uninterrupted service, neurotrixum does not guarantee that our services will be available at all times or will meet your specific requirements. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. Scheduled maintenance and updates may result in temporary service interruptions.

Payment Terms and Billing

Payment for neurotrixum services is due according to the billing schedule outlined in your service agreement. All fees are quoted in Euros (EUR) and are exclusive of applicable taxes. Late payments may result in service suspension or termination. Refunds are provided only in accordance with our refund policy as specified in individual service agreements.

Data Protection and Privacy

neurotrixum is committed to protecting your privacy and personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated by reference into these terms. By using our services, you consent to the processing of your data as described in our Privacy Policy.

Intellectual Property

The neurotrixum website, services, and all related content, including but not limited to text, graphics, logos, images, software, and data compilations, are the property of neurotrixum SARL or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes only. You may not:

  • Copy, modify, distribute, or create derivative works from our content or services
  • Reverse engineer, decompile, or disassemble any software provided as part of our services
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use our trademarks, logos, or brand names without prior written consent

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of the business relationship. All confidential information must be kept strictly confidential and may not be disclosed to third parties without prior written consent. This obligation survives termination of these terms and any service agreements.

Limitation of Liability

To the maximum extent permitted by applicable law, neurotrixum SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claims arising from or related to our services shall not exceed the amount paid by you to neurotrixum in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless neurotrixum SARL, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of Luxembourg, and you hereby consent to personal jurisdiction and venue therein. The European Union's regulations, including but not limited to GDPR, shall also apply where relevant.

Dispute Resolution

In the event of any dispute arising from or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If such negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the Luxembourg Chamber of Commerce, unless otherwise required by applicable law.

Termination

Either party may terminate these terms or any service agreement at any time with appropriate notice as specified in the individual service agreement. neurotrixum reserves the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these terms. Upon termination, your right to use our services will cease immediately, and we may delete your account and all related data. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and governing law.

Force Majeure

neurotrixum shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature or acts of God, wars, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and neurotrixum concerning the use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
